Their role is to provide informed input for the Board’s discussions and assist in preparing its decisions.
These committees meet as often as is necessary. Their operating method and areas of responsibility are set out in the Internal Guidelines of the Board of Directors. In accordance with the Afep-Medef Code on the corporate governance of listed companies, significant responsibilities are given to independent directors.
France Telecom-Orange also believes that it is necessary that each committee benefit from the presence of at least one member who represents the French Government and of at least one member who is an employee representative.
