dividend distribution policy
Since the presentation of its annual results for 2005, France Telecom was committed to paying out between 40% and 45% of organic cash flow to its shareholders. The amount, date and conditions for payments were proposed by the Group’s Board of Directors and submitted to the approval of the shareholders' general meeting.
For 2007, the Board of Directors' meeting of February 5, 2008 decided to recommend at the combined Ordinary and Extraordinary Shareholders' Meeting of May 27, 2008 payment of a dividend of 1.30 euro per share and payment of the dividend on June 3, 2008.
Moreover, the Board specified that the dividend that will be proposed at the Shareholder’s Meeting for 2008 would be higher than 1.30 euro per share, the Board has the option of bringing the distribution rate, if applicable, to over 45% of the amount of the organic cash flow.
The Board of Directors shall examine each year the possibility of additional compensation for shareholders according to organic cash flow forecasts and the Group's investment projects. Future dividends shall depend however on the capacity of French Telecom to generate a profit, its financial situation and any other factor that the Board of Directors finds relevant.

Following its transformation into a limited company on December 31, 1996, France Telecom is subject to the provisions of the French commercial code for the distribution and payment of dividends.
