dividend distribution policy

France Telecom  committed from 2005 to pay out between 40% and 45% of organic cash flow to its shareholders. For 2007, the Board of Directors' meeting of February 5th, 2008 decided to recommend at the combined Ordinary and Extraordinary Shareholders' Meeting of May 27, 2008, a payment of a dividend of 1.30 euro per share and payment of the dividend on June 3, 2008.

Given the organic cash flow expected for 2008, the Board of Directors confirms that the dividend for 2008 to be recommended to the Annual General Meeting of Shareholders will exceed 1.30€ per share. The Board of Directors reserves the option of raisng the distribution rate to more than 45% of organic cash flow, if appropriate.

 

In addtion, each year, the Board of Directors will examine the possibility of additional compensation for shareholders according to organic cash flow forecasts and the Group's investment projects.

Moreover, the Board of Directors decided on July 30th, 2008 to pay each year an interim ordinary dividend based on financial performance of first half. For the current year, the interim dividend will be 0.60€ per share and will be paid on September 11th, 2008. This decision does not predetermine that which will be taken  at the 2008 financial closing of the amount of the fianl ordinary dividend to be paid for the full year 2008 and, if relevant, of any other additional remuneration for shareholders.

Following its transformation into a limited company on December 31st, 1996, France Telecom is subject to the provisions of the French commercial code for the distribution and payment of dividends.
