Four key principles guide the way in which Orange is governed: the responsibility and the integrity of its leaders and directors; the independence of members of the Board of Directors; a transparent approach to information, and respect for shareholders’ rights.
Helle Kristoffersen, Mouna Sepehri, Christel Heydemann, Alexandre Bompard, Charles-Henri Filippi, Jean-Michel Severino and Bernard Ramanantsoa were appointed as Independent Directors by the Board, constituting seven of its 15 members.
This proportion is in line with the recommendation in the AFEP-MEDEF corporate governance code, which states that at least one-third of the directors of compliant companies must be independent.
Chairman and Chief Executive Officer Stéphane Richard, is not considered an Independent Director because of his executive functions within the Group.
Following a proposal by the Governance and Corporate Social and Environmental Responsibility Committee, the Board of Directors assesses the independence of each member on a yearly basis.
Senior Independent Director
Charles-Henri Filippi was appointed as the Senior Independent Director by the Board of Directors on 7 December 2016. The powers and missions entrusted to him are presented in Article 10 of the Board of Directors' internal regulations.
The Board of Directors and the shareholders jointly shape the way in which the Group is governed. Stéphane Richard has served as Chairman and Chief Executive Officer since 1 March 2011.
Orange follows two golden rules for good governance
- Implementing a corporate governance code: Orange follows the AFEP-MEDEF corporate governance code for listed companies, devised by French employers’ associations AFEP and MEDEF. The reviewed version was published in June 2018 (further information is available in French on our "Governance Documentation" section and the AFEP and MEDEF websites, among others).
- Applying the principle of balanced representation between women and men: there are currently fifteen members of the Board of Directors, of which five are women.
