The appointment process to replace the Director representing employee shareholders, carried out in early February, was appealed before the Commercial Court at the end of February. The appointment process followed and the difficulties encountered during this consultation are described in section 6.6 " Board of Directors’ Report on the resolutions submitted to the Combined Ordinary and Extraordinary Shareholders’ Meeting of May 22, 2024" of the Company's universal registration document relating to the 2023 financial year.
In its decision dated May 3, 2024, the Nanterre Commercial Court annulled the second round of the pre-consultation process intended to designate the candidate for election to the office of Director representing employee shareholders in the Board of Directors of Orange SA, which took place from February 5 to 9, 2024, and consequently annulled the result – for the ruling click here – .
The Orange Board of Directors will be meeting shortly to consider the implications of this decision and to decide on the appropriate follow-up actions.
