It is responsible for steering the operational execution of our major orientations, supervising performance across all business lines and geographies, and ensuring the rollout of key transformation projects. The Committee also oversees operational risk management, monitors performance indicators, and allocates the resources needed to achieve our strategic ambitions.

The Board of Directors ensures the effective implementation of the major priorities set out in the Lead the Future strategic plan. Throughout the year, it examines key milestones in the company’s life: reviewing operating performance, quarterly results, and half-year and annual financial statements; approving the budget; assessing risks and sustainability indicators; and determining the remuneration of Executive Officers.
Specialized committees assisting the Board of Directors
Orange relies on three specialized committees within the Board of Directors: the Audit Committee, the Strategy and Technology Committee, and the Governance and Corporate Social and Environmental Responsibility Committee. Chaired by independent directors, these committees strengthen governance by providing detailed insight into financial performance, technological evolution, business strategy, and social and environmental responsibility.
Internal control is carried out through a collaborative framework involving governance committees, support functions overseeing control-related domains, and operational teams. Oversight is led by the Internal Control Department, which reports to the Audit, Control, and Risk Management Division. This team defines the methodology, provides tools for implementation, and establishes the annual work program that guides internal control across the organization.
The Scientific Council brings together leading figures from the academic and scientific worlds who provide expert insight on strategic developments. Their insights help anticipate emerging technologies and inform our R&D priorities
At Orange, innovation and ethics go hand in hand. Our Data and AI Ethics Council brings together 11 independent experts from diverse disciplines, including philosophy, law, and artificial intelligence research. Their role is to ensure innovation remains aligned with our values and centered on human benefit. The Council guides Orange on the responsible, transparent, and inclusive use of AI and data – to reinforce trust and ensure progress aligns with a more human, more equal, and more sustainable digital world.
